Notice of 2020 Diabetes Victoria Annual General Meeting
Notice is hereby given that the 2020 Annual General Meeting of the members of Diabetes Victoria (ABN 71 005 239 510) will be held via the Zoom video conferencing platform on Monday 26 October 2020 at 4pm.
The meeting will be held online in a webinar format, rather than at a physical location, in accordance with temporary amendments to the Corporations Act 2001 (Cth).
In order to attend and participate in the meeting, you will need to register online.
Once registered, you will receive an email notification with a link to the meeting, as well as a meeting passcode. Please use your unique link and the passcode provided to attend the meeting on the day.
Details on how you may speak and vote at the meeting are provided below and will be made clear at the time of the meeting.
Our financial reports for the year ended 30 June 2020 are available on the Diabetes Victoria website at: https://www.diabetesvic.org.au/financial-reports.
Please note that, this year, hard copies will not be printed or distributed.
- To receive reports from the President and the CEO, as well as consider and adopt the financial report of Diabetes Victoria for the year ended 30 June 2020 and the reports of the Directors and Auditors thereon.
To re-appoint as Directors: Professor Patricia Dunning AM, A/Professor Mark Kennedy and Dr Sarah Wenham, who retire by rotation and, in accordance with the provisions of the Diabetes Victoria Constitution and being eligible, offer themselves for re-election.
To present a number of awards.

Appointing a Proxy
A member entitled to attend and vote but unable to attend the AGM may appoint a proxy to attend and vote in their stead. The proxy need not be a member of Diabetes Victoria, but should be a natural person over the age of 18 years.
Proxy forms must be completed online here prior to 5pm on Friday 23 October.
Please note that any proxy must separately register to attend the meeting (via the link above).
Speaking and Voting at the Meeting
The 2020 Diabetes Victoria AGM will be held via the Zoom webinar platform. Attendees will be able to vote, make written comments and request to speak or be seen via the Zoom Q&A function. This function will be visible to all attendees upon joining the meeting and the use of it and other webinar functions will be explained at the time of the meeting.
In order to vote, attendees will be instructed to type “aye” into their on-screen Q&A text window. A Zoom report will later be accessed to confirm the vote count.
While all webinar attendees will be unable to be seen or heard upon entering the meeting, any member who wishes to speak will be allowed to speak or allowed to re-join the meeting as a presenter, to be seen and heard, upon request (such a request can be made via the Q&A function).
The Q&A function can also be used to make comments or ask questions throughout the meeting. Attendees will only be offered to speak or be seen if it is explicitly requested.
